1. Acceptance of Terms

By accessing or using Imara Logic ("Service", "Platform", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Imara Logic Systems Limited regarding your use of our business messaging and commerce platform.

2. Description of Service

Imara Logic provides a multi-channel business messaging platform that enables businesses to:

  • Send and receive messages via WhatsApp Business API, Facebook Messenger, and Instagram
  • Manage customer conversations in a unified inbox
  • Automate workflows and AI-powered responses
  • Sync and manage product catalogs from Facebook/Instagram
  • Process orders and payments through integrated payment providers
  • Track analytics and conversation insights

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By registering, you represent and warrant that you meet these requirements.

3.2 Account Responsibility

  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to provide accurate, current, and complete information during registration
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access or security breach
  • You may not transfer or share your account with others without our written consent

4. Meta Platform Integration

When using our Service to connect with Meta platforms (WhatsApp, Facebook, Instagram), you acknowledge that:

  • You must comply with Meta's Platform Terms, Business Terms, and Community Standards
  • You must have the necessary permissions and access rights for connected accounts
  • You must respect Meta's 24-hour customer service messaging window policy
  • Meta may restrict or terminate your access independent of Imara Logic
  • Meta's terms take precedence for any conflicts related to their platforms

5. Acceptable Use Policy

You agree NOT to:

  • Send spam, unsolicited messages, or violate anti-spam laws
  • Use the Service for any illegal, fraudulent, or harmful purposes
  • Violate intellectual property rights
  • Send misleading, false, or deceptive content
  • Use the Service to send prohibited content (illegal goods, hate speech, violence, adult content)
  • Impersonate any person or entity
  • Scrape, harvest, or collect user data without authorization
  • Interfere with or disrupt the Service

6. Fees and Payment

Subscription fees are billed monthly or annually in advance. All fees are non-refundable except as required by law. We accept payments via M-Pesa, Paystack, and other approved methods.

7. Intellectual Property

The Service is owned by Imara Logic and protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you upload but grant us a license to use it solely to provide the Service.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you agree to our data practices.

9. Termination

We may suspend or terminate your access immediately for violations of these Terms. You may cancel your subscription at any time. Upon termination, we may delete your data after 90 days (see Data Deletion Policy).

10. Limitation of Liability

LIABILITY LIMIT

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMARA LOGIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be submitted to arbitration in Nairobi, Kenya.
